Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Trustpay platform, including the website located at trust-pay.ca, mobile applications, APIs, and all related services (collectively, the "Platform"). The Platform is owned and operated by Trustmepay Global Corp., a corporation registered in British Columbia, Canada under registration number BC1540261, with its registered office at 970 Burrard St. Vancouver, BC Unit 112, V6Z 1V3 ("Trustpay," "we," "us," or "our").

By creating an account or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, AML/KYC Policy, and Risk Disclosure (collectively, the "Agreements"). If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

To use the Platform, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into a binding agreement; (c) not be a resident of a jurisdiction where the use of digital asset services is prohibited or restricted; and (d) successfully complete our identity verification process as described in our AML/KYC Policy.

This Platform is not directed at, marketed to, or intended for residents of the EU/EEA. Any access to or use of the Platform by such persons is undertaken exclusively at their own initiative.

We reserve the right to refuse service to any person or entity at our sole discretion. Users who have been previously suspended or removed from the Platform are not permitted to re-register without our express written consent.

3. Account Registration

You must register for an account to access most features of the Platform. During registration, you agree to provide accurate, current, and complete information and to keep your account information updated at all times. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication methods.

You agree to notify us immediately at support@trust-pay.ca if you suspect any unauthorized access to or use of your account. Trustpay shall not be liable for any loss arising from unauthorized use of your account where you have failed to safeguard your credentials.

4. Supported Digital Assets

The Platform currently supports trading, depositing, and withdrawing the following digital assets: Bitcoin (BTC), Ethereum (ETH), Solana (SOL), and USD Coin (USDC). Trustpay reserves the right to add, remove, or suspend support for any digital asset at any time, with or without prior notice.

The availability of any digital asset on the Platform does not constitute an endorsement, recommendation, or solicitation to purchase that asset. You are solely responsible for evaluating the merits and risks of any transaction you undertake on the Platform.

5. Trading and Transactions

All orders submitted through the Platform are subject to acceptance and execution based on market conditions and available liquidity. Trustpay does not guarantee that any order will be filled at the requested price or at all. Once an order is matched and executed, the transaction is final and cannot be reversed.

You acknowledge that digital asset prices are highly volatile and that past performance is not indicative of future results. Trustpay is not responsible for any losses you may incur as a result of price fluctuations, market conditions, or technical failures beyond our reasonable control.

6. Fees

Trustpay charges fees for certain services, including but not limited to trading fees, deposit fees, withdrawal fees, and network (gas) fees. A complete and current fee schedule is available on the Platform. We reserve the right to modify our fee structure at any time; changes will be communicated via the Platform or by email at least seven (7) days before taking effect.

You are responsible for any taxes, duties, or levies applicable to your transactions. Trustpay does not provide tax advice and recommends you consult a qualified tax professional regarding your obligations.

7. Deposits and Withdrawals

Deposits and withdrawals of fiat currency are processed through authorized payment processors and financial institutions. Trustpay may impose minimum and maximum limits on deposits and withdrawals. Processing times vary depending on the payment method, network congestion, and regulatory requirements.

Digital asset withdrawals are processed on-chain and are subject to blockchain confirmation times. Trustpay is not responsible for delays caused by network congestion or blockchain issues. Sending digital assets to an incorrect address may result in permanent loss; Trustpay cannot reverse or recover such transactions.

8. Prohibited Activities

You agree not to use the Platform for any unlawful purpose or in violation of any applicable law or regulation. Prohibited activities include, but are not limited to:

  • Money laundering, terrorist financing, or other financial crimes
  • Market manipulation, wash trading, spoofing, or other deceptive trading practices
  • Circumventing or attempting to circumvent any security measures, access controls, or usage limits
  • Using the Platform on behalf of a third party without prior written authorization
  • Transmitting viruses, malware, or any code designed to interfere with the Platform's operation
  • Using automated systems (bots, scrapers) to access the Platform without express permission

9. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform at any time, without prior notice, if we reasonably believe that: (a) you have violated these Terms; (b) your account is associated with suspicious or fraudulent activity; (c) we are required to do so by law, regulation, or a court order; or (d) continued access poses a risk to Trustpay or other users.

You may close your account at any time by contacting support@trust-pay.ca. Upon closure, you must withdraw any remaining balances within thirty (30) days. Unclaimed balances may be subject to applicable escheatment laws.

10. Intellectual Property

All content, trademarks, logos, software, and other intellectual property displayed on or used in connection with the Platform are the property of Trustmepay Global Corp. or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes only.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Trustpay, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our total liability to you shall not exceed the fees paid by you to Trustpay during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Trustmepay Global Corp. and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Platform.

13. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Vancouver, British Columbia, Canada, administered in accordance with the rules of the British Columbia International Commercial Arbitration Centre. The language of the arbitration shall be English.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15. Amendments

Trustpay reserves the right to amend these Terms at any time. Material changes will be communicated to you via email or a prominent notice on the Platform at least fourteen (14) days before taking effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms.
